Commercial Software License Agreement
This Commercial Software License Agreement (“Agreement”) is entered into between Mortgage Authority Hub (“Licensor”) and the purchasing brokerage or business entity (“Licensee”).
By purchasing, accessing, or using Mortgage Authority Hub, Licensee agrees to the terms of this Agreement.
1. License Grant
Licensor grants Licensee a non-exclusive, non-transferable license to use Mortgage Authority Hub for internal business use as a mortgage payment modeling, comparison, and client presentation system.
2. Permitted Use
Licensee may use the software to:
- present modeled mortgage payment scenarios to clients,
- compare loan structures,
- generate client-facing PDF summaries, and
- use a branded version of the system within the licensed brokerage.
3. Restrictions
Licensee may not:
- resell, sublicense, or redistribute the software,
- share the source code outside the licensed brokerage,
- reverse engineer or attempt to replicate the system,
- remove licensing or branding controls required by Licensor, or
- offer the software as a public tool, SaaS platform, or white-label resale product.
4. Intellectual Property
Mortgage Authority Hub, including its code, design, calculation logic, layout system, export system, and related materials, remains the exclusive intellectual property of Licensor. This Agreement grants a license to use the software and does not transfer ownership.
5. License Scope
Each purchased license is limited to one brokerage or legal business entity and may not be shared across unrelated companies, brokerages, or external organizations. The software may be used internally by that licensed brokerage and its team, but may not be transferred to another brokerage, company, or outside party.
6. License Fee
Licensee agrees to pay the agreed one-time license fee. Unless otherwise stated in writing, the standard license fee is $4,000 USD.
All license fees are final and non-refundable once the software, branded instance, or related deliverables have been provisioned, delivered, or made available to Licensee.
7. Updates and Improvements
Licensor may provide updates, refinements, compatibility improvements, or feature improvements from time to time. Licensor is not obligated to provide updates indefinitely unless otherwise agreed in writing.
8. Educational and Illustrative Use
Mortgage Authority Hub is an educational and illustrative modeling tool. Outputs are based on simplified assumptions and user-provided inputs and may not reflect exact lender calculations, servicing conventions, fees, taxes, insurance changes, or underwriting outcomes. The software does not provide legal, tax, financial, lending, or compliance advice.
9. Compliance Responsibility
Licensee remains solely responsible for all regulatory compliance, disclosures, loan advice, marketing claims, and client communications arising from its use of the software.
10. Limitation of Liability
Mortgage Authority Hub is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
To the fullest extent permitted by law, Licensor shall not be liable for lending decisions, business losses, client decisions, reliance on modeled outputs, or any damages arising from incorrect inputs, misuse, or regulatory non-compliance by Licensee.
11. Indemnification
Licensee agrees to indemnify and hold harmless Licensor from any claims, damages, liabilities, costs, or expenses arising from Licensee's use of the software, including regulatory violations, client disputes, or misuse of modeled outputs.
12. Termination
This license may be terminated if Licensee violates this Agreement, redistributes the software, or attempts to copy, resell, or reverse engineer the system. Upon termination, Licensee must stop using the software.
13. Governing Law
This Agreement shall be governed by the laws of the State of Wyoming, without regard to conflict of law principles, unless otherwise agreed in writing by the parties.
14. Limitation of Damages
To the fullest extent permitted by law, Licensor’s total cumulative liability arising out of or relating to this Agreement or the use of Mortgage Authority Hub shall not exceed the total license fee paid by Licensee for the software.
15. Exclusion of Consequential Damages
In no event shall Licensor be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of revenue, business interruption, or loss of data, arising from or related to the use or inability to use Mortgage Authority Hub, even if Licensor has been advised of the possibility of such damages.
16. Entire Agreement
This Agreement constitutes the entire agreement between Licensor and Licensee regarding the licensing and use of Mortgage Authority Hub and supersedes any prior discussions, communications, or agreements, whether written or oral. Any modifications to this Agreement must be made in writing and agreed to by both parties.
17. Acceptance
By signing this Agreement, paying the license fee, or accessing and using Mortgage Authority Hub, Licensee acknowledges and accepts the terms of this Agreement.
